  1. POWWOW(tm) END USER LICENSE AGREEMENT

  4. ALL USE OF POWWOW CLIENT SOFTWARE IS SUBJECT TO THIS LICENSE 
  5. AGREEMENT.  BY CLICKING ON THE "YES" BUTTON BELOW, YOU ARE 
  6. AGREEING TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS 
  7. AGREEMENT, AND YOU CONSENT TO BE BOUND BY AND BECOME A PARTY 
  8. TO THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL THE TERMS AND 
  9. CONDITIONS OF THIS AGREEMENT, CLICK THE "NO" BUTTON AND YOU 
  10. WILL NOT HAVE ANY LICENSE TO AND MAY NOT USE ANY PART OF THE 
  11. POWWOW SOFTWARE.  TRIBAL VOICE'S ACCEPTANCE IS EXPRESSLY 
  12. CONDITIONED UPON YOUR ASSENT TO ALL THE TERMS AND CONDITIONS 
  13. OF THIS AGREEMENT; IF THESE TERMS ARE CONSIDERED AN OFFER BY 
  14. TRIBAL VOICE, ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS.

  16. PowWow copyright (C) 1995-2000 by Tribal Voice, Inc.  All 
  17. rights reserved.  PowWow is distributed free-of-charge for 
  18. personal non-institutional use by individuals.  Tribal Voice,
  19. Inc. reserves the right to charge for all other uses.

  24. GRANT
  25.  
  26. By using the PowWow Software ("PowWow"), you agree to
  27. abide by the terms of this license agreement ("Agreement").
  28. Subject to the terms of this Agreement, Tribal Voice, Inc.
  29. ("Tribal Voice") hereby grants you a limited, personal,
  30. nontransferable, nonsublicensable, royalty-free, nonexclusive
  31. license to use one copy of PowWow in object code form only on a
  32. single computer and only in accordance with the applicable end
  33. user and technical documentation for the purpose of accessing
  34. the Tribal Voice Registration Services in order to interact 
  35. with other PowWow users via the Internet.
  36.  
  37. You may copy PowWow for archival purposes and for the purposes
  38. of distribution only in accordance with the terms set forth below,
  39. provided any copy must contain all original proprietary notices
  40. included by Tribal Voice and must contain a copy of this Agreement.
  41. You may distribute PowWow only to other individual users who agree
  42. to be bound by the terms of this Agreement.  PowWow must be
  43. distributed complete and intact without modifications whatsoever.
  44.  
  45. To distribute PowWow with a magazine, book, or bundled with another 
  46. product, you must obtain written permission from Tribal Voice.
  47.

  49. PROPER USE OF SOFTWARE
  50.  
  51. You shall use PowWow for lawful purposes only, in compliance with all 
  52. applicable laws, including without limitation copyright, trademark, 
  53. obscenity, and defamation laws.  Unlawful activities may include, 
  54. without limitation, storing, distributing or transmitting any unlawful
  55. material, attempting to compromise the security of any networked
  56. account or site, or making threats of physical harm.
  57.  
  58. You understand and acknowledge that PowWow is a tool to assist you 
  59. in communicating with other people, and that Tribal Voice is not 
  60. responsible for the content of such communications.  Tribal Voice 
  61. exercises no screening, editorial, or other control over Content 
  62. available to you through use of PowWow, and Content may include 
  63. material that could be deemed distasteful, misleading, inaccurate, 
  64. offensive, pornographic or otherwise objectionable.  Furthermore, 
  65. use of PowWow does not guarantee any privacy or confidentiality of 
  66. any Content which you post or make available through PowWow and
  67. Tribal Voice assumes no responsibility or liability for the
  68. preservation of such Content. You may not use PowWow or the
  69. Tribal Voice Registration Services in any manner that in the
  70. sole discretion of Tribal Voice is deemed to interfere with the
  71. reasonable use of PowWow by other PowWow users with whom you
  72. may interact using PowWow.
  73.  
  74. You are solely responsible for the content of any transmissions
  75. through or using PowWow.  You agree to enter a valid email
  76. address, of which you are the owner or primary user, and a
  77. unique password when using PowWow and the Tribal Voice
  78. Registration Service.  Tribal Voice reserves the right to
  79. take any action against anyone who violates these terms,
  80. including but not limited to modifying or removing any Content
  81. or discontinuing use of PowWow or the Tribal Voice Registration
  82. Service without notice to you.

  85. INDEMNIFICATION
  86.  
  87. You hereby release Tribal Voice, its suppliers, licensors and
  88. affiliates from any and all liability for all claims related to
  89. Content as well as claims related to the security or level of 
  90. privacy provided.  You agree to indemnify and hold harmless Tribal
  91. Voice and its licensors, affiliates, directors, officers, agents 
  92. and employees from and against any and all claims, actions,
  93. proceedings, damages, judgments, losses, liabilities and
  94. expenses (including reasonable attorneys fees) arising out of
  95. or in connection with any communications generated by you or
  96. content posted by you using PowWow.  You assume responsibility
  97. of, and any costs or liability associated with, making a
  98. connection to the Tribal Voice Registration Service, and you
  99. understand that PowWow will not operate without such a
  100. connection.

  102.  
  103. RESTRICTIONS
  104.  
  105. You agree you will not attempt to reverse compile, modify, 
  106. translate, create derivative works of, or disassemble (except 
  107. to the extent applicable laws specifically prohibit such 
  108. restriction) PowWow in whole or in part or to otherwise attempt
  109. to derive source code or underlying ideas or algorithms from 
  110. PowWow and that you will make reasonable efforts to prevent 
  111. anyone from doing same.  You may not remove any proprietary 
  112. notices or labels from PowWow or any copy thereof.

  115. TITLE
  116.  
  117. As between the parties, title, ownership rights, and
  118. intellectual property rights in and to PowWow, and any copies or
  119. portions thereof, shall remain in Tribal Voice and its suppliers
  120. or licensors.  PowWow is protected by the copyright laws of the
  121. United States and international copyright treaties.  Title,
  122. ownership rights, and intellectual property rights in and to any
  123. software, data, information, text, pictures, images, avatars,
  124. characters, sounds, personalities, or other content ("Content")
  125. accessed through PowWow is the property of the applicable owner
  126. and may be protected by applicable copyright or other law.  This
  127. license gives you no rights, title, or interest to Content
  128. except the limited license to use PowWow as described above.

  130. PowWow includes software licensed by Tribal Voice from The
  131. Independent JPEG Group, First Byte, and VoxWare, Inc. that is
  132. protected by the copyrights, trademark rights and other
  133. intellectual property rights of its respective owners.

  136. DISCLAIMER OF WARRANTY
  137.  
  138. POWWOW, AND ANY SUPPORT OR SERVICES YOU MAY RECEIVE FROM TRIBAL
  139. VOICE, ITS SUPPLIERS, LICENSORS, AND AFFILIATES ARE PROVIDED 
  140. "AS IS," WITHOUT WARRANTY OF ANY KIND.  TRIBAL VOICE HEREBY 
  141. DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WITHOUT 
  142. LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A 
  143. PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  NEITHER TRIBAL VOICE
  144. OR ITS SUPPLIES< LICENSORS OR AFFILIATES WARRANTS THAT LICENSEE 
  145. WILL HAVE CONTINUOUS, UNINTERRUPTED USE OF THE SOFTWARE OR THE 
  146. TRIBAL VOICE REGISTRATION SERVICE OR THAT POWWOW IS ERROR-FREE.  
  147. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS 
  148. AGREEMENT.  SOME STATES DO NOT ALLOW EXCLUSIONS OF AN IMPLIED 
  149. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU 
  150. MAY HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR 
  151. BY JURISDICTION.

  154. LIMITATION OF LIABILITY.  
  155.  
  156. TRIBAL VOICE AND ITS LICENSORS, SUPPLIERS AND AFFILIATES SHALL
  157. NOT BE LIABLE UNDER ANY TORT, CONTRACT, STRICT LIABILITY, OR 
  158. OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, SPECIAL, 
  159. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND INCLUDING, 
  160. WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, 
  161. WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND 
  162. ALL OTHER COMMERCIAL DAMAGES OR LOSSES.  IN NO EVENT WILL 
  163. TRIBAL VOICE, ITS LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE 
  164. FOR ANY DAMAGES IN EXCESS OF THE LIST PRICE FOR A LICENSE TO USE 
  165. POWWOW, EVEN IF TRIBAL VOICE, ITS LICENSORS SUPPLIERS OR AFFILIATES 
  166. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.  THIS 
  167. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR 
  168. PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH 
  169. LIMITATION.  FURTHERMORE, SOME STATES DO NOT ALLOW THE EXCLUSION 
  170. OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS 
  171. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  173. SUPPORT
  174.  
  175. This Agreement does not entitle you to any maintenance, upgrades, 
  176. patches, enhancements, fixes, new versions or other support 
  177. ("Support Programs") for PowWow; provided, however, that if 
  178. you download or otherwise obtain in any manner any Support 
  179. Programs they shall become part of PowWow and the terms of this
  180. Agreement shall apply.  You agree you will allow Triba Voice to 
  181. contact you for purposes of announcing new releases, bug fixes,
  182. and other technical and business information.
  183.

  185. TERMINATION
  186.  
  187. This Agreement, including all of your rights to use PowWow, 
  188. will terminate automatically and immediately if you fail 
  189. to comply with the terms and conditions of this Agreement.
  190.  
  191. In addition, Tribal Voice, its licensors, suppliers and
  192. affiliates may, at their sole discretion, terminate this 
  193. Agreement, the license granted herein, and your right to 
  194. use and access PowWow, or the Tribal Voice Registration
  195. service at any time.  On termination, you must destroy
  196. all copies of PowWow.
  197.  
  198. Except for the license granted in the "Grant" section of this
  199. Agreement and except as otherwise expressly provided herein, the
  200. terms of this Agreement shall survive termination.  Termination
  201. is not an exclusive remedy and all other remedies will be
  202. available whether or not the license is terminated.

  204.  
  205. EXPORT CONTROLS
  206.  
  207. You shall comply with the U.S. Foreign Corrupt Practices Act 
  208. (regarding, among other things, payments to government officials) 
  209. and all export laws and restrictions and regulations of the 
  210. Department of Commerce, the United States Department of Treasury 
  211. Office of Foreign Assets Control ("OFAC"), or other United States
  212. or foreign agency or authority, and agree not to export, or allow 
  213. the download, export or re-export of any Software or portion 
  214. thereof in violation of any such restrictions, laws or regulations.

  217. MISCELLANEOUS
  218.  
  219. In the event of invalidity of any provision of this license, 
  220. the parties agree that such invalidity shall not affect the 
  221. validity of the remaining portions of this license.  You may 
  222. not assign your rights or obligations under this Agreement 
  223. without the express written consent of Tribal Voice.  This 
  224. Agreement will be governed by the laws of the State of 
  225. California as they are applied to agreements between California
  226. residents entered into and performed entirely within California.
  227. The United Nations Convention on Contracts for the International 
  228. Sale of Goods is specifically disclaimed.
  229.  
  230.  
  231. GOVERNMENT USE
  232. As defined in FAR section 2.101, PowWow and its accompanying 
  233. documentation licensed in this Agreement are "commercial items" 
  234. and according to DFAR section 252.227-7014(a)(1) and (5) are 
  235. deemed to be "commercial computer software" and "commercial 
  236. computer software documentation."  Consistent with DFAR 
  237. section 227.7202 and FAR section 12.212, any use modification, 
  238. reproduction, release, performance, display, or disclosure of 
  239. such commercial software or commercial software documentation 
  240. by the US. Government shall be governed solely by the terms of 
  241. this Agreement and shall be prohibited except to the extent 
  242. expressly permitted by the terms of this Agreement.
